Sewing Stroll Commercial Teaching License Agreement (CTLA)

SEWING STROLL

Commercial Teaching License Agreement

License Fee: CAD $200.00
License Type: Lifetime Commercial Teaching License
Effective Date: Date of Purchase (Upon Successful Payment)

This Commercial Teaching License Agreement (“Agreement”) sets out the terms under which Sewing Stroll permits the commercial teaching use of its sewing patterns. Please review this Agreement before purchasing.

1. License Grant and Pattern Coverage

Upon payment of the one-time license fee of CAD $200, Sewing Stroll grants the original purchaser a non-exclusive, non-transferable, lifetime license to use one selected Sewing Stroll sewing pattern product for commercial in-person sewing instruction, subject to this Agreement.

The license covers all sizes and variations originally included in the selected pattern product at the time of purchase. Each additional pattern product requires a separate Commercial Teaching License.

There are no annual renewals, recurring payments, or per-student licensing fees.

The PDF sewing pattern is not included in the license fee and must be purchased separately if not already owned.

2. Permitted Teaching Activities

The license holder may conduct an unlimited number of paid in-person sewing classes and workshops, with no limit on student enrollment.

Teaching may be conducted by the original purchaser or by employees and authorized instructors acting on behalf of the registered licensed business. The license holder remains responsible for their compliance with this Agreement.

The license permits teaching at one registered permanent studio location, if applicable, and unlimited off-site classes and workshops at external venues without additional fees or prior approval from Sewing Stroll.

Independent instructors without a permanent teaching studio may teach at multiple temporary or host venues under one license.

Off-site teaching must be conducted directly by the license holder or their authorized instructors. Host venues do not receive independent teaching rights under this Agreement.

The location and business restrictions in Section 5 apply to all teaching activities.

3. Classroom Materials and Student Use

The license holder may print original, unaltered copies of the licensed pattern and instructions for supervised classroom use, including only the pages or sizes needed for a particular class.

Students may temporarily reference the licensed materials and trace pattern pieces for use during supervised classes. Any traced pattern pieces must remain under the instructor's control and be collected at the end of each class. Students may not retain, photograph, video record, scan, or otherwise reproduce or digitally capture any licensed materials.

All printed pattern and instruction materials provided for classroom use must be collected by the instructor at the end of each class. Students may take home their finished sewing projects, but not the licensed materials.

Photography and video recording of finished projects or general classroom activities are permitted, provided that licensed patterns, instructions, and instructional illustrations are not captured.

The license holder must take reasonable steps to supervise classroom materials, prevent unauthorized copying or distribution, and ensure their collection after each session.

4. Restrictions and Intellectual Property

The following activities are prohibited:

  • Selling, distributing, sharing, or giving away the licensed PDF pattern or instructions, in whole or in part, whether digitally or in print.
  • Providing students, instructors, host venues, or other third parties with licensed pattern or instruction materials to retain outside supervised classes.
  • Sharing PDF files through email, cloud storage, messaging services, websites, or online learning platforms.
  • Conducting online or virtual classes using the licensed materials without separate written authorization from Sewing Stroll.
  • Reproducing, modifying, repackaging, or adapting the licensed patterns or instructions for resale or redistribution.
  • Altering, removing, obscuring, or replacing original pattern content, illustrations, Sewing Stroll branding, logos, or copyright notices.
  • Transferring or extending teaching rights beyond the purchaser, authorized instructors, and locations permitted under this Agreement.

All Sewing Stroll patterns, instructions, illustrations, photographs, logos, and related materials remain the intellectual property of Sewing Stroll. No copyright or ownership rights are transferred through this license.

All rights not expressly granted are reserved by Sewing Stroll.

This Agreement does not alter any permission separately granted under the original pattern's terms regarding the sale of finished items made from that pattern.

5. Licensed Locations, Business Ownership, and Transfer

Permanent Teaching Locations

Each license covers one registered permanent teaching studio or location where the licensed pattern is taught.

A separate Commercial Teaching License is required for each additional permanent teaching location, including directly operated branches, franchise locations, and affiliated studios, regardless of common ownership.

The license holder may conduct unlimited off-site classes at fabric stores, community centers, event spaces, other studios, and similar venues. These classes may be occasional or recurring, provided that they are conducted by or on behalf of the license holder.

Off-site teaching permission does not authorize the establishment or ongoing operation of an additional permanent teaching location under the same license.

An external venue may not independently conduct classes using the license or retain licensed pattern materials.

Business Changes and Ownership

The license is issued to the original purchaser and, where applicable, one registered sewing business operated by that purchaser.

Changes to the business name, legal structure, or relocation of the registered studio do not require a new license, provided that the original purchaser remains the license holder and the license continues to cover only one permanent teaching location. The purchaser should notify Sewing Stroll of changes to the registered business name or studio address.

The license may not be sold, assigned, transferred, sublicensed, or shared with another individual or independently operated business.

If the registered business is sold or transferred to a new owner, the license does not transfer with it. The new owner must purchase a separate license to continue teaching the pattern.

The original purchaser may retain and use the license for their own teaching activities after leaving or selling the business, subject to the terms of this Agreement and any applicable registration updates. The business under new ownership may not continue using that license.

Franchise and Affiliated Businesses

Each permanent franchise or affiliated teaching location requires its own license to conduct classes independently. A franchise headquarters, parent company, or individual franchisee may not extend a single license to other locations or businesses.

Organizations requiring shared teaching rights across multiple permanent locations must contact Sewing Stroll for a separate licensing arrangement.

6. License Duration and Termination

This license remains valid for the lifetime of the original purchaser unless terminated in accordance with this Agreement. Temporary or extended periods of inactivity do not affect its validity, and teaching may resume without purchasing a new license.

Sewing Stroll may terminate the license for a material breach of this Agreement.

For a breach that can reasonably be remedied, Sewing Stroll will provide written notice describing the violation and allow 14 days from receipt of that notice to remedy it.

For a material breach that cannot reasonably be remedied, including unauthorized distribution or public disclosure of licensed pattern files, Sewing Stroll may terminate the license by written notice without a cure period.

Upon termination, all commercial teaching use of the licensed pattern must cease immediately.

7. Purchase, License Documents, and Refunds

Commercial Teaching Licenses are sold through the official Sewing Stroll website:

www.sewingstroll.com

Before purchasing, the purchaser must select the pattern product to be licensed and provide their full name, studio or business name (if applicable), and registered permanent teaching location (if applicable).

Following purchase, Sewing Stroll will email the purchaser:

  • A personalized Commercial Teaching License Certificate identifying the original purchaser, registered business and teaching location (if applicable), licensed pattern, purchase date, and order reference.
  • A PDF copy of this Commercial Teaching License Agreement for their records.

The purchase confirmation, order record, and issued License Certificate serve as evidence of the license. Corrections or updates to registered information should be requested directly from Sewing Stroll.

All Commercial Teaching License purchases are final and non-refundable, except where otherwise required by applicable law.

Refunds will not be provided solely because the purchaser has not used the license, has conducted fewer classes than anticipated, or has decided to discontinue teaching.

Termination of the license does not create a right to a refund, except where otherwise required by applicable law.

8. Acceptance of Terms

By purchasing this Commercial Teaching License, the purchaser acknowledges that they have read, understood, and agreed to this Agreement in its entirety.

The purchaser agrees to comply with all license conditions and restrictions set forth herein.
